Terms & Conditions

These terms apply to (a) your use of this website, scorpionaitooling.co.uk, and (b) any project, chatbot, or ongoing support service you engage Scorpion AI Tooling Ltd to provide. By using this website or instructing us to carry out work, you accept these terms.

1. Who we are

Scorpion AI Tooling Ltd ("Scorpion", "we", "us", "our") is a company registered in England and Wales under company number 17336409, with its registered office at 15 Snowgoose Way, Newcastle-under-Lyme, Staffordshire, ST5 2GA, United Kingdom. You can contact us at hello@scorpionaitooling.uk.

2. Using this website

You may browse this website and use the contact form for its intended purpose — finding out about our services, requesting a quote, or asking a question. You must not use the website in a way that could damage, disable, or impair it, or attempt to access any area that isn't intended for public use, such as the client portal or legal document upload areas, without valid login credentials.

Client Portal and Legal Documents pages are restricted to logged-in clients and are excluded from search engine indexing. Access is provided for the duration of an active engagement and may be withdrawn once a project concludes.

3. Services and quotes

We provide web design, custom AI chatbots, business system UI design, and subscription AI bots, as described on our Services page. Every project is scoped and quoted individually before any work begins. A quote is valid for the period stated in it (or, if none is stated, 30 days) and does not form a binding agreement until accepted in writing by both parties.

Once a quote is accepted, the agreed scope, price, and timeline are fixed. Any work requested beyond that scope will be quoted separately and only carried out with your further approval.

4. Payment

Payment terms (deposit, milestones, or monthly retainer, as applicable) are set out in your individual quote or contract. Invoices are due on the terms stated on the invoice. Continued access to any hosted deliverable (website, chatbot, or portal) may depend on ongoing support payments remaining up to date, where a support plan applies.

5. Intellectual property

Unless otherwise agreed in writing, ownership of the final delivered website, chatbot configuration, or interface design transfers to you on full payment. We retain ownership of our own underlying frameworks, tooling, and reusable code components used to build your project, and may reuse general techniques and non-confidential learnings in future work for other clients.

6. AI features and chatbots

Where a project includes an AI chatbot or assistant, it is built on a hardened, model-agnostic framework and configured for a specific business purpose. AI-generated responses are produced by third-party language models (for example, models accessed via OpenRouter) and, like any AI system, may occasionally be incomplete, inaccurate, or unexpected. Chatbots we build are not a substitute for professional, medical, financial, or legal advice unless expressly agreed as part of the project scope, and any conversational outputs from client-facing bots should be treated as informational rather than guaranteed accurate in every case.

You must not attempt to misuse, manipulate, or extract data from any chatbot in a way that circumvents its intended purpose or the safeguards built into it.

7. Confidentiality

We treat information you share with us about your business as confidential and use it only for the purpose of delivering your project. Details of completed projects may be referenced as case studies or testimonials only with your prior permission, as set out in your contract.

8. Liability

We aim to deliver reliable, well-tested websites and tools, but we do not guarantee that any website, chatbot, or interface will be uninterrupted or entirely error-free. To the fullest extent permitted by law, our liability for any claim arising from a project is limited to the fees paid for that project. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law. We carry business insurance; cover details are available on request.

9. Ending an engagement

Support and retainer arrangements run for a minimum term of 6 months. After that they continue month to month, and either party may end the arrangement by giving 30 days' notice in writing, unless a different period is set out in your individual contract. Ending an engagement does not affect fees already due for work completed.

10. Changes to these terms

We may update these terms from time to time to reflect changes in how we operate. The version published on this page at the time you use the website or agree to a project governs that use or engagement. Material changes affecting an active contract will be discussed with you directly.

11. Governing law

These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
